Special Section Agreement
Dining San Diego Magazine & Website, referred to as "Publisher"and _____________________ referred to as "Advertiser" agree as follows:
1. AGREEMENT: Publisher shall design, print and distribute throughout San Diego County in accordance with its distribution program, a two page spread advertorial in its forthcoming Magazine designed specifically for Advertiser and will also post Advertiser’s page on its website : www.diningsandiego.com.
2. DISTRIBUTION PERIOD (July through December / January through June)

3. RATE: [ ] Two page advertorial - $4800 payable @ $800 monthly for 6 months [ ] Stand alone single page ad insertion - $2880 @ $480 monthly for 6 months
[ ] Single page ad insertion with advertorial - $2400 @ $400 monthly for 6 months [ ] Two page advertorial - $8400 payable @ $700 monthly for 12 months
[ ] Stand alone single page ad insertion - $4800 @ $400 monthly for 12 months
[ ] Single page ad insertion with advertorial - $3900 @ $325 monthly for 12 months

4. MISCELLANEOUS PAYMENT PROVISIONS: THIS AGREEMENT IS SUBJECT TO THE PROVISIONS THAT ARE SET FORTH BELOW. THIS IS A LEGAL CONTRACT. PLEASE READ THESE PROVISIONS CAREFULLY.
5. RATE SHEET: Advertiser acknowledges receipt of the current rate sheet
6. CANCELLATION : This Agreement cannot be cancelled by Advertiser except for good cause.
Miscellaneous Payment Provisions: Advertiser agrees to submit a completed credit application on request of Publisher. TIME IS OF THE ESSENCE. Payments are due on tender of invoice. Any payment unpaid for 30 days after due date shall be delinquent. Interest may be charged on delinquent payments at the rate of 1.5% per month or any part thereof. If payments are delinquent for sixty days or longer, Publisher, at as sole discretion, may accelerate all unpaid installments and declare them all due and payable. Advertiser agrees to notify Publisher in writing of bankruptcy, assignment for the benefit of creditors, sale or reorganization within 10 days thereof. Any such action listed above, or a sale of the business or assets by means of sale in bulk without publication or by means of sale of corporate stock of the Advertiser corporation to any third party entity shall be void with respect to Publisher. Advertiser grants Publisher a priority to all other claims except taxes and claims secured by recorded liens on property. Advertiser or its purchasers or assigns shall remain liable for any unpaid balance due to Publisher. Advertiser grants Publisher a lien on any proceeds of selling the business in bulk. If suit is required to collect on this contract, venue for any action at law shall be in any Court of the San Diego County Superior Court. The prevailing party in any action at law shall be entitled to reasonable attorney fees and costs in addition to any damages that the Court may award. The parties agree that, in the event of suit to collect on the matter herein, specific collection costs are difficult to ascertain. The parties agree that the sum of $750 represents a reasonable collection cost, exclusive of court filing fees, attorney fees, deposition costs and other litigation costs and, in the event judgment is awarded to Advertiser, the Court shall be empowered to add an addition collection cost of $750 to any other judgment or award that the Court shall see fit to award. In the event Advertiser cancels this contract at the end of 6 months after agreeing to and receiving a 12 month contract rate, Advertiser agrees to pay immediately the difference between the two rates. COLOR PROOFS are available on written request at extra charge. CHANGES or revisions after first proof and revision are chargeable and will be billed to Advertiser at $75/hr. Additional charges for art or design may apply, upon Advertiser's prior agreement. Advertiser WARRANTS that he knows of no currently existing facts or events that could render this debt uncollectible. A breach of this warranty would comprise fraud in the inducement and shall be actionable as such in tort. This written agreement may be renewed orally for subsequent publication periods with all terms and conditions herein as if fully set forth again in writing.
